Terms of Service.

01Acceptance of terms

By accessing or using Kantum, you agree to these Terms. If you are using Kantum on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, do not use the service.

02The service

Kantum is a hosted, multi-tenant AI operations platform that connects to your tools, maintains memory, and can take actions on your behalf. Write actions are proposed for your approval before they are carried out. The service may change over time as we add, modify, or remove features.

03Accounts and eligibility

You must be at least 18 years old to use Kantum. You agree to provide accurate, current, and complete information when creating an account, to keep it up to date, and to keep your credentials secure. You are responsible for activity that occurs under your account.

04Acceptable use

You agree not to use Kantum for any unlawful, abusive, infringing, or disruptive purpose. You will not:

• Violate any applicable law or the rights of others.
• Upload or transmit malicious code, or attempt to disrupt or compromise the service.
• Infringe intellectual property or misappropriate confidential information.
• Attempt to gain unauthorized access to the service, other tenants, or related systems.

05Your data and content

You retain ownership of the data and content you provide to and connect with Kantum. You grant OrNsoft a limited, non-exclusive license to host, process, and transmit that data and content solely to provide and operate the service for you. You authorize Kantum to access the third-party accounts you connect, on your behalf, to perform the tasks you direct.

06AI outputs and human oversight

AI outputs may be inaccurate, incomplete, or otherwise unsuitable. You are responsible for reviewing outputs before relying on them. Kantum proposes write actions for your approval; you are responsible for the actions you approve and for any automations you configure to run.

07Third-party models and integrations

You choose which AI model runs your tasks — Claude, GPT, or Gemini. Models and connectors are operated by third parties under their own terms and act as subprocessors or recipients of data as needed to provide the service. Your use of a third-party model or integration may be subject to that provider's terms.

08Fees and billing

Kantum is offered through subscription plans plus usage-based fees and credit allowances as described at the time of purchase. Fees are billed through third-party payment processors. Daily spend caps are available to limit usage costs. You authorize us and our processors to charge the payment method on file for amounts due.

09No refunds

All fees are non-refundable under any circumstances, including for unused allowances, consumed usage, or partial periods. You may cancel at any time to stop future charges. Cancellation stops renewal but does not refund amounts already paid.

10Subscriptions, renewal, and cancellation

Subscriptions are offered on monthly terms and renew automatically each period unless cancelled. You may cancel at any time, effective at the end of the current billing period. On cancellation, your subscription will not renew, and your access continues until the end of the paid period, subject to these Terms.

11Intellectual property

OrNsoft owns Kantum, the platform, and all related intellectual property, including software, designs, and trademarks. The service is licensed for access, not sold. No rights are granted to you except as expressly stated in these Terms.

12Confidentiality

Each party may receive non-public information of the other. The receiving party will use such information only to perform under these Terms, will protect it with reasonable care, and will not disclose it except to those who need it and are bound by similar obligations, or as required by law.

13Security

OrNsoft maintains an information security program designed to protect customer data. OrNsoft is ISO 27001 and ISO 9001 certified. For more detail on our controls, see the Security page. No other certification is claimed.

14Disclaimers

The service is provided "as is" and "as available," without warranties of any kind, whether express or implied. We do not warrant that the service will be accurate, uninterrupted, error-free, or fit for a particular purpose, to the fullest extent permitted by law.

15Limitation of liability

To the fullest extent permitted by law, OrNsoft will not be liable for any consequential, incidental, or special damages. OrNsoft's total aggregate liability shall not exceed the total fees actually received by OrNsoft from the Customer for the service during the one (1) month period immediately preceding the event giving rise to the claim.

16Indemnification

You agree to indemnify and hold harmless OrNsoft and its affiliates from claims, damages, and expenses arising out of your use of the service, your data or content, or your breach of these Terms, except to the extent caused by OrNsoft.

17Term and termination

These Terms apply while you use the service. Either party may terminate as permitted herein. On termination, the Customer may export their data within a defined window, after which the data is deleted. Provisions that by their nature should survive termination will survive.

18Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the courts located in Miami-Dade County, Florida, USA, for any dispute arising out of or relating to these Terms or the service.

19Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be communicated as appropriate. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.
